Saurashtra Cement AGM Puts Governance Under Digital Lens

Saurashtra Cement completed its 68th annual general meeting on September 23 through video conferencing, with shareholders voting remotely and during the meeting. The Gujarat-based cement maker secured approval for six resolutions covering financial statements, auditor appointments, board positions and remuneration. The process also highlights how digital shareholder participation is becoming a routine part of governance for listed companies serving India’s infrastructure and construction economy.

The meeting was conducted from 4pm and remained open for an additional 15 minutes to allow eligible shareholders to complete electronic voting. Remote voting had been available from September 20 to September 22, while those attending the virtual meeting who had not voted earlier could cast their votes electronically. Shareholders approved the audited standalone and consolidated financial statements for the year ended March 31, 2026. They also backed the reappointment of a non-executive director, appointment of cost auditors and correction of the statutory auditor’s tenure. Two special resolutions covered the reappointment of the managing director for 2027 and a commission arrangement for the non-executive chairman.

The voting process recorded 72.14 million votes, equivalent to about 64.8% of the company’s outstanding shares. Eighty-nine shareholders attended the AGM through video conferencing, including promoter representatives and public shareholders. The resolutions received the required majority, although the voting margin was comparatively narrower on the chairman’s commission proposal than on the other items. For investors, the Saurashtra Cement AGM offers a useful view of how listed construction-material companies are handling shareholder oversight while reducing dependence on physical meetings. Digital participation can lower travel requirements and make corporate proceedings accessible to investors who are geographically distant from a company’s registered office.The broader significance extends to the infrastructure supply chain. Cement remains closely tied to housing, transport projects, industrial construction and urban expansion. As demand for new infrastructure grows, governance around companies supplying these projects becomes relevant not only to investors but also to the wider efficiency and accountability of capital deployed into the built environment.

An independent scrutiniser supervised the voting and verified the electronic voting data before confirming that all six resolutions had received the required majority. The voting results and scrutiniser’s report are being disclosed through the prescribed stock-exchange and company channels, providing shareholders with a formal record of the decisions taken.The next point of attention will be how these governance decisions translate into operational performance, financial discipline and responsible capacity deployment as India’s construction and infrastructure requirements continue to expand.
