Knowledge Realty OFS Faces RERA Lens on Urban Growth

Knowledge Realty Trust is set for a large ownership reshuffle as sponsor-linked entities prepare to sell units worth up to ₹11,988 crore through an offer for sale (OFS). The transaction could place a sizeable portion of one of India’s largest office-focused REITs with public investors, while highlighting how regulatory requirements are influencing ownership structures in the country’s expanding commercial property market.

The base offer covers 16.69% of the trust’s unit capital, with a further 8.34% available if demand permits. At the ₹108 floor price, the initial portion is valued at about ₹7,992 crore. Full exercise of the additional allocation would take the transaction to 25.03%, or roughly ₹11,988 crore. Importantly, this is an ownership transfer rather than a fund-raising exercise for the REIT. In an OFS, existing unitholders sell their holdings through the exchanges and receive the proceeds. Knowledge Realty Trust itself does not receive fresh capital from the transaction. The sale is also primarily a SEBI regulatory matter, not a RERA transaction. The OFS is intended to help the trust meet the minimum public unitholding requirement under the SEBI REIT regulations.

Blackstone and related entities currently hold 46.51% of the trust. For the urban economy, the transaction matters beyond the movement of financial ownership. Knowledge Realty Trust holds 29 Grade A office assets across six Indian cities, with a gross asset value of about ₹67,411 crore as of March 2026. Its portfolio includes completed space as well as properties under construction and future development, linking investor decisions to the expansion and intensification of major employment districts. Demand for office space will therefore remain an important variable. The trust expects leasing activity to improve, with management indicating that annual leasing could exceed the previous year’s 3.5 million sq ft. Greater occupancy can support commercial activity around offices, including public transport demand, services and local employment.

However, faster commercial development also brings questions around infrastructure capacity, mobility, energy use and water demand. As office districts expand, the quality of surrounding public infrastructure will increasingly determine whether growth produces broader urban benefits or adds pressure to already crowded systems. The OFS opens to non-retail investors on August 31, followed by participation for retail investors and eligible carry-forward bids on September 1. The next test will be whether wider public ownership can develop alongside efficient, resilient and resource-conscious management of the large office districts underpinning the REIT.
