Belagavi Shareholders Back Leadership Plans Amid Losses

Belagavi, Karnataka: Shareholders of Shri Keshav Cements & Infra have approved a fresh five-year term for its managing director and remuneration arrangements for three executive directors at the company’s 33rd annual general meeting. The decisions come as the cement maker faces a contrasting financial picture: revenue has expanded sharply, but the business remained loss-making in FY26 and carries higher financial leverage.

The meeting, held in Belagavi on September 18, cleared all seven resolutions placed before shareholders, according to the voting results. These included the reappointment of the managing director for a five-year term beginning May 2027, the continuation of another director who retired by rotation, and approval of remuneration for the company’s senior executive leadership.The voting outcome also highlights the ownership structure behind the decisions. Promoter and promoter-group shareholders accounted for the overwhelming majority of votes on the resolutions, while public non-institutional investors also participated through electronic voting and physical polling. No votes were recorded against any of the seven proposals.The governance decisions arrive against a more complicated operating backdrop. For FY26, the company reported revenue from operations of about ₹161.31 crore, compared with ₹121.45 crore a year earlier. Yet its net loss widened to ₹6.53 crore from ₹6.17 crore. Total expenses reached ₹165.68 crore, with finance costs rising to ₹21.56 crore.

For the urban economy, the numbers matter beyond the company itself. Cement demand is closely tied to housing, roads, industrial construction and other infrastructure activity. Sustained revenue growth can therefore indicate continued construction demand, but higher borrowing costs and weaker profitability can constrain the ability of smaller manufacturers to fund capacity, modernise plants or absorb future input-cost volatility.The company’s FY26 accounts also show a higher debt-equity ratio of 2.64 times, up from 2.43 times. Its auditors issued a qualified opinion relating to an unresolved GST investigation, while the company’s financial statements disclose substantial investment in a solar project in Karnataka. These factors make capital discipline, regulatory resolution and energy economics relevant to the company’s next phase.The latest quarterly figures underline the pressure. In the quarter ended June 2026, revenue was about ₹48 crore, while the company recorded a net loss of ₹5.17 crore.

The immediate priority for management will therefore extend beyond maintaining sales growth. Converting higher volumes into sustainable margins, managing leverage and improving operational efficiency will determine how effectively the business can support construction demand while navigating a more capital-intensive infrastructure environment.
