Knowledge Realty OFS RERA Link Needs Clarification

Blackstone-linked sponsor entities have begun selling a substantial holding in Knowledge Realty Trust through an offer for sale, potentially putting nearly ₹12,000 crore worth of units into the market. The transaction is significant for India’s commercial property sector because it could sharply increase public ownership in one of the country’s largest listed REITs while reducing the sponsor group’s control.

The Knowledge Realty OFS opened for non-retail investors on August 31, with retail investors scheduled to participate on September 1. The floor price has been fixed at ₹108 per unit. The base offer covers 74 crore units, equivalent to 16.69% of the trust’s unit capital and valued at about ₹7,992 crore at the floor price. An additional 37 crore units can be offered if demand permits, taking the potential sale to 25.03%, or nearly ₹11,988 crore. The transaction is being undertaken by four Blackstone-related entities. If the additional allocation is fully exercised, Blackstone’s holding in the REIT could fall substantially. Current disclosures put the Blackstone-linked stake at about 46.5%, while the wider sponsor group holds a much larger combined position.

For the market, the Knowledge Realty OFS is more than a large secondary share sale. An OFS transfers existing units from current holders to new investors; it does not provide fresh capital to the REIT. That means the transaction will not directly add funds for new buildings, acquisitions, transport links or other urban infrastructure. Its immediate effect is instead on ownership structure and market liquidity. The sale also highlights an important regulatory distinction. RERA governs specified real estate projects and consumer-facing property transactions, while listed REITs operate within the securities-market framework overseen by SEBI. Knowledge Realty Trust was registered with SEBI as a REIT in October 2024 under the SEBI REIT Regulations.

The trust owns 29 assets across six Indian cities, giving the transaction wider relevance for India’s office-led urban economy. Large commercial property platforms increasingly influence employment clusters, commuting patterns and demand for surrounding infrastructure. For investors, attention will now turn to subscription levels, the final number of units sold and how ownership changes after the OFS. For cities, the more important question is whether large-scale commercial assets continue to support productive, accessible and resource-efficient urban growth. Capital-market expansion alone does not guarantee better urban outcomes; long-term value will depend on how efficiently these assets serve businesses, workers and surrounding communities.
