Knowledge Realty Trust RERA Context Draws Attention

A proposed stake sale by Blackstone in Knowledge Realty Trust could reshape the ownership mix of one of India’s largest office-focused real estate investment trusts, while putting commercial property investment back in focus. The transaction, announced through an exchange filing on Friday, could release units worth up to ₹11,988 crore into the market, potentially widening public participation in income-generating office assets.

The proposed offer for sale has a base component equivalent to 16.69% of the REIT and an additional 8.34% option if demand exceeds the initial offering. The floor price has been fixed at ₹108 per unit. If the full additional portion is sold, the transaction would be worth about $1.26 billion at the stated price. For the wider property market, the size of the transaction matters because Knowledge Realty Trust represents a large portfolio of commercial workplaces spread across six Indian cities. Its portfolio had a market value of about ₹67,411 crore at the end of March 2026, covering 29 commercial office assets, with a combined area of roughly 46.5 million square feet. The proposed sale also comes as demand for institutional office space continues to evolve around technology companies, global capability centres and large domestic occupiers. The trust reported strong leasing activity during FY26, with 3.5 million square feet leased during the year. Such activity can influence not only investment returns but also the future use, energy performance and infrastructure requirements of large office districts.

The ownership change could therefore have implications beyond the capital markets. Large commercial portfolios require sustained investment in transport access, water management, energy efficiency, waste systems and public-facing amenities. As office districts expand, planners and investors face increasing pressure to ensure that growth does not translate into higher congestion, resource consumption or uneven access to urban infrastructure. The Knowledge Realty Trust transaction should not, however, be confused with a direct RERA process. RERA primarily regulates real estate projects and transactions involving homebuyers and other specified real estate activities, while REITs operate under the securities-market framework administered by SEBI. Knowledge Realty Trust was registered as a REIT under SEBI’s REIT regulations in 2024.

Blackstone and its related entities currently hold 46.51% of the trust, according to the exchange disclosure. The REIT began trading in August 2025 and has since recorded gains of roughly 10%, adding market significance to the proposed sell-down. The next focus will be investor participation and how the wider ownership base develops. For cities, the more important question will be whether future commercial investment supports productive workplaces while improving the efficiency, resilience and liveability of the urban areas surrounding them.
