Pune Workspace Deal Shifts Ownership Beyond Holdings

EFC (India) Limited has completed the sale of its entire holding in Sanvritti Alpha Private Limited for ₹39 crore, transferring ownership of two floors in Pune’s Konark Alpha Building while continuing to operate the premises. The transaction highlights a growing shift in commercial real estate towards separating property ownership from workspace operations, allowing companies to release capital without immediately exiting a functioning urban asset.

The transaction was completed on September 4, 2026, through a share acquisition agreement with Sanvritti Global Private Limited. Following the transfer, Sanvritti Alpha ceased to be EFC’s subsidiary. The buyer is outside EFC’s promoter group, according to the company’s regulatory disclosure. The Pune office asset was held through the special purpose vehicle after being acquired in 2025. EFC subsequently developed the two floors into Grade-A commercial space and leased them for managed and coworking operations. Under the sale-and-leaseback structure, the ownership has changed but EFC continues using the premises for its workspace business. The financial scale of the subsidiary also explains why the transaction is significant mainly as an asset-recycling exercise rather than a major business divestment.

Sanvritti Alpha recorded ₹2.21 crore in turnover during FY2025-26, equal to 0.21% of EFC’s consolidated turnover. Its net worth stood at a negative ₹5.07 crore as of March 31, 2026. From an urban real estate perspective, the Pune office asset points to a wider question: whether workspace companies need to own the buildings in which they operate. Sale-and-leaseback structures can reduce the capital tied up in property, but they also replace ownership costs with continuing rental obligations. The model therefore depends on sustained occupancy, tenant demand and the ability to generate enough operating income from the space. RERA adds a separate regulatory context. The Real Estate (Regulation and Development) Act covers commercial as well as residential real estate, particularly projects requiring registration and consumer-facing sales.

However, the available disclosure does not indicate that this corporate share transfer itself is a MahaRERA project sale. RERA relevance therefore lies mainly in the regulatory framework governing applicable commercial real estate projects, rather than the share transaction itself. For Pune’s commercial districts, the development signals a more flexible ownership model in which buildings can move between investors while occupiers and services remain in place. The next test will be whether such transactions support productive reuse of existing office stock, maintain stable employment and services, and avoid adding excessive fixed rental exposure for operators.
